Non-Member Guest Workspace Use Agreement

This document serves as an acknowledgement and agreement made by the signing party (hereafter referred to as the Guest) to the entity OCLEN – O.E., LLC dba Office Evolution Burlington that the Guest will abide by and adhere to all outlined terms and conditions, and/or rules and policies, while physically being inside the Office Evolution location, receiving services from the Office Evolution Burlington location, or using a workspace provided to the signing non-member visiting Guest from Office Evolution Burlington’s place of business as outlined in this document (hereafter referred to as the Business Center, or Premises). A workspace is defined by Office Evolution Burlington to be any space in the Business Center offered at charge, bookable through reservation with Office Evolution, or provided to the Guest for access or use, be that space a meeting room, training room, conference room, any shared co-working space or common area space, dedicated space, or any such space of the like.
The Guest further acknowledges, and is recognized as accepting responsibility for, all persons directly associated to the Guest accessing Office Evolution Burlington’s workspaces accompanying the Guest, or on the Guest’s behalf, be them Clients, Employees, Visitors, Event Attendees, Associates, Representatives, Business Partners, Affiliates, and the like (hereafter referred to as the Guest’s Party). The Guest agrees to inform the Guest’s Party of the terms and conditions outlined in this agreement, and to see that the group will also adhere, to the best of their ability, to the agreement outlined herein.
- Business Center Summary: The Business Center Operator is an independent owner and operator of the Business Center. Any legal notice by the Guest to the Business Center shall be given in writing by personal delivery, or certified mail with a return receipt request, in any case delivered to the applicable entity outlined in this document in the Business Center Operator Information below.

- Nature of the Agreement: Upon the completed booking of a workspace with Office Evolution at the above stated location, the Guest is granted the equivalent of a revocable and non-transferable license to use the space as outlined in the booking information. Guest acknowledges that this agreement serves as the terms and conditions for the license, and agrees to abide by and adhere to the terms of the license. Guest acknowledges and agrees that this agreement creates no tenancy, leasehold estate, or any other property interest of any kind. This agreement, and any booking made with Office Evolution Burlington as a non-member guest, does not constitute a lease or any interest in any real property. Guest agrees that the revocable license obtained through booking as a non-member guest with Office Evolution cannot be sublicensed, sold to another individual or entity, and that any attempt to do so instantly revokes the license. Signing party acknowledges that the license is subject to the terms of Office Evolution’s landlord, if applicable, and that the license shall immediately terminate at the end of their scheduled workspace booking, and/or simultaneously with the termination of Office Evolution’s master lease with the location, should such a situation arise, and that should such a termination occur for any reason that it will be at no cost or penalty to the Guest. If the signing Guest has placed their booking with Office Evolution through a 3rd party booking platform (such as LiquidSpace, Davinci Virtual Offices, MeetingRoomz, Upflex, WeWork, Breather, and the like) the Guest acknowledges that this agreement is in addition to any agreement made with that 3rd party platform, and that for any instance of any conflict or contradiction between the terms of those agreements and this Office Evolution Non-Member Guest Workspace Use Agreement document will control. In signing this document, Guest acknowledges that no booking completed with Office Evolution is a lease, nor does any booking with Office Evolution Burlington and its operator, OCLEN-O.E.,LLC create any interest in any real property whatsoever, nor for any individual in Guest’s Party.
- Identification & Check-In Policy: Accept where otherwise permitted by express written permission of the Business Center Manager, or by contractual agreement from membership with Office Evolution or Office Evolution Burlington, the Guest agrees to and accepts that Office Evolution Burlington has the right to request, scan and/or copy official identification documents from the Guest for the purposes of determining identity regarding booking, use of space, payments, or where otherwise determined by Office Evolution for the purposes of health, safety, or security. The Guest agrees to make a reasonable effort to check-in with Office Evolution Burlington’s staff upon arrival, and to provide reasonable notice of their arrival, use of space, or intent to use a workspace on the Premises. Office Evolution Burlington further reserves the right to request the names of anyone in a Guest’s Party, or to request documents of their identification, for example photo identification such as US State Driver’s License or passport.
- Guest Exit Policy: Guest will see that the doors and windows, if operable, are closed and securely locked before leaving the Premises and must observe strict care and caution that all water faucets or water apparatus are entirely shut off before Guest or Guest’s Party leave the Premises. Further, the Guest agrees that all light switches, lighting fixtures, and devices using electricity in the space will likewise be carefully shut off and/or powered down to prevent waste or damage. Guest agrees to take all of their personal property with them upon exiting the space.
- Waste Disposal Policy: All trash and waste generated by the Guest or Guest’s party during their use of the space must be responsibly disposed of in a trash or recycling receptacle as provided in the Business Center. Guest agrees not dispose of any waste for which Office Evolution is not unable to dispose of (such as medical waste) or to put liquids of any kind in trash cans. All waste liquid should be poured down drains in sinks or restrooms before disposing of the liquid’s container, when applicable, and when it is environmentally responsible to do so. If a liquid leaks through a trash can, or if a spill occurs in the workspace such that it damages the space, the flooring or carpeting, a minimum $100 Cleaning Infraction charge will be applied at the discretion of the Business Center Manager and/or at the discretion of the location’s ownership.
- Pet & Bike Policy: No bicycles or animals of any kind are permitted to be brought into, nor kept inside of, nor stored about the interior of the Business Center, except where required by law in regards to trained and certified service animals or personal medical mobility support equipment for which the Guest can provide sufficient documents of authorization for the support animal or device.
- Cooking & Flame Policy: No cooking will be done or permitted by the Guest or their party in the Premises without Office Evolution Burlington’s express written consent in advance of the scheduled space usage. Guest will not bring onto the premises any devices or materials for use with food preparation or cooking such as heat-plates, ovens, burners, and the like, without express written permission from the Business Center Manager, nor will any Guest attempt to cook or prepare anything using fire or substances that would put other guests, staff, or the building in any form of danger or risk. Under no circumstances will a Guest light a fire in the Business Center, nor on or about the Premises.
- Nuisance Policy: Guest will not cause or permit any unusual or objectionable odors to be produced in or emanate from the Premises. Guests will not cause or permit any dangerous or excessively loud noises and/or sounds to be heard or emitted from any device or activity of the Guest or the Guest’s Party, for any reason, at any time while on the Premises.
- Guest Advertising Policy: Office Evolution will have the right to prohibit any advertising activity by the Guest or their party which, in Office Evolution’s opinion, would impair the reputation of the building or business of Office Evolution. Guest will refrain from posting any signage, or engaging in any advertising activities of any kind in or about the Business Center, unless expressly permitted by Office Evolution Burlington by written consent. Any advertising materials, be them printed material or otherwise, found in or about the Premises without such permissions will be removed and discarded by Office Evolution Burlington immediately and without notice.
- Substance Policy: Office Evolution Burlington reserves the right to exclude or expel from the building any person who, in the judgement of Office Evolution Burlington, is intoxicated or under the influence of liquor or drugs or substances of any kind, or who will in any manner do any act in violation of these rules and regulations or to be found in violation of any United States laws, be them Federal, State, or Local to the area in which the Business Center is located. Guest agrees not to vend or distribute, nor attempt to vend or distribute, any substance to any persons while on the Premises at any time, nor for any reason.
- Guest Solicitation Policy: Guest and Guest’s Party and agents will not solicit business in the Common Areas of Office Evolution Burlington, nor will they distribute any handbill or other advertising material at any place within the building other than the interior of the Premises when expressly permitted by the Business Center’s ownership or Business Center Manager. Guest and Guest’s Party agree to respect other Guest’s and Office Evolution Member’s privacy.
- Device Policy: Guest and Guest’s Party may use their own devices while on the Premises for the purposes of their meeting or event and subject to the approval and consent of the Business Center and Business Center Manager. Office Evolution Burlington and the Business Center may provide a number of complimentary devices or devices at charge for use by the Guest during their scheduled booking, such as, but not limited to computer monitors, desks, chairs, television screens, wireless technology accessories, HDMI cables, projectors, and the like. The Business Center will provide in a timely manner pricing of any device available for use upon request. The Guest agrees that they will not, under any circumstances or for any reason, install any device that may damage Office Evolution Burlington’s Business Center, the internet service in the Business Center, or that inhibits another Guest’s ability to use the space in a safe and positive manner, nor that will damage the business or activities of Office Evolution Burlington or another Guest. Any unapproved device found on the Premises by Office Evolution or the staff of Office Evolution Burlington may be removed by the Business Center immediately and without notice. Should the device be in violation of any local, State or Federal laws, Office Evolution will be required to appropriately communicate about and/or hand over the device to State or Federal legal representatives in accordance with the law of the land.
- Smoking Policy: Guest and the Guest’s party may only smoke tobacco or vape products while in the designated smoking areas outside of the building designated by Office Evolution Burlington and/or the building’s ownership. Guest will dispose of all cigarette or cigar butts in designated receptacles provided. In no event will the Guest or Guest’s party smoke any tobacco products within the building, or within 50 feet of any entrance to the building. Guest will not vend or distribute, nor attempt to solicit sale of any tobacco, vape, or nicotine containing product to any party or persons while on Premises.
- Plumbing: The plumbing facilities in the Premises and Business Center building shall not be used for any purposes other than that for which they are constructed. No foreign substances of any kind will be thrown therein. Any expense incurred by any breakage, stoppage, or damage resulting from a violation of this provision by the Guest or the Guest’s Party will be borne by the Guest. Guest agrees to make a good faith effort to inform Office Evolution staff of any issues.
- Internet Services: The internet is a shared access system subject to Office Evolution’s controls and access limitations. The Business Center will make a good faith effort to provide business-class internet connectivity via methods and technologies provided by Office Evolution. Actual speeds may fluctuate as the main server continuously balances and adjusts the needs and usage within the office by the actual bandwidth delivered from the supplier. Multiple devices within an office may divide the allocation. As such, the Guest agrees not to stream videos or upload/download other products in such formats which bandwidth demands that may overburden the entire system, or by putting the network or it’s users at risk, or by making access for other Guest’s difficult. This is especially true when using Wi-Fi access. Additionally, the Guest agrees not to use the internet for any illegal purposes, direct or indirect, nor to solicit any illegal activity of any kind from any party in any way.
- Building Keys & FOBs: All keys, door locks, and FOBs are property of Office Evolution Burlington or the Business Center or building housing the Business Center. Office Evolution Burlington may provide a Guest with a Key or FOB to access a workspace during the time of their scheduled use of the space. Guest’s and the Guest’s Party agree not to tamper with any locks or duplicate or damage any keys or FOBs provided to them by Office Evolution Burlington. Failure to return a FOB device at the end of the Guest’s use of an Office Evolution Burlington workspace will result in an immediate charge of $50 per FOB. Failure to return a physical key at the end of the Guest’s use of a space will result in an immediate charge of $100 per key plus any applicable costs to repair or replace the lock.
- Kitchen Usage: Guest agrees to reasonably clean up after themselves and the Guest’s Party. This includes any spills or splatters in the microwave or toaster ovens in the kitchen and break room areas, and on any tabletops or counters therein. Basic common household cleaning supplies are provided by the Business Center and can be located under the sinks in these areas. The following rules apply:
- Guest agrees to wash their hands when using a kitchen area. Guest will not dirty or damage clean dishes or utensils in the breakroom kitchen area’s supply.
- Guest and the Guest’s Party will not, upon exit from the business center, leave any dishes, utensils, food waste, or catering accessories in any conference rooms, in any shared workspaces, or on any countertops.
- Guest agrees to rinse off any dirty dishes and utensils and place them in the dishwasher. Guest agrees to place all used dishes, cutlery and/or utensils requiring cleaning in the break room kitchen area’s provided dishwasher machine when the device reads “DIRTY”. They agree not to place dirty items in the dishwasher when the washer reads “CLEAN”, but leave those items in the break room kitchen area’s sink. Guest and the Guest’s Party will not attempt to run dishwashers.
- Guest agrees to handle all items in the breakroom kitchen area responsibly and in a safe manner. Guest and Guest’s Party agree to reasonably inspect any items in the breakroom kitchen area before use. Any item deemed unfit for use by the Guest or Guest’s party will be set aside and a reasonable effort will be made to inform Business Center Staff. Guest and Guest’s Party agree to make a reasonable effort to inform the Business Center’s staff of any damage to any items in the breakroom kitchen area.
- Guest will not, under any circumstances, mix or combine any cleaning products available in the breakroom kitchen area for any reason.
- Breakroom Kitchen Area Damage Charges: Guest and Guest’s Party acknowledge and agree that any damage caused by the Guest or the Guest’s Party to the Business Center’s kitchen area or Business Center’s property in the kitchen area (for example, a broken plate) may incur a minimum charge of $10 per instance at the discretion of the Office Evolution location’s ownership and Business Center Manager.
- Children In The Business Center: Guest agrees to not leave children unattended in the Business Center at any time for any reason. Children are not to be left alone in the reception area, conference rooms, kitchens, or any other common areas or workspaces at any time for any reason. If a Guest or the Guest’s Party brings a child to the Business Center, they agree to remain with the child at all times. Office Evolution Burlington and its staff and affiliated parties cannot be held liable for any instances of misfortune of any kind regarding Guest’s children or children included in Guest’s Party. Your children are your responsibility at all times. Guest will make sure that their children do not damage the Business Center, nor allow their child to engage in any behavior that would reasonably be deemed dangerous to the child or to any other Guest, Office Evolution Member, or Office Evolution staff, owner, and the like.
- Emergency Situations: In the event of a life threatening emergency do not hesitate to call 911. For non-life threatening emergency situations please call the Burlington, MA Police Department’s non-emergency line at the number 781-272-1212. Guest and Guest’s party will exit the building if the building’s fire alarm system activates, or if informed by Office Evolution staff that immediate exit is necessary for any emergency reason as so deemed by Office Evolution Burlington’s staff or ownership.
- Conference Room, Meeting Room, and Training Room Usage: Office Evolution Burlington offers a variety of conference and meeting rooms for Guests to book with hourly charges based on room size, amenities, and availability. Use of these spaces is subject to all terms and conditions, or rules and regulations, as outlined in this Meeting Room Guest Agreement, or for Office Evolution’s Members in Office Evolution Membership agreements. The Guest and the Guest’s Party acknowledge and agree to the following when using these meeting room spaces:
- Guest and Guest’s Party will adhere to the time allotted in their reservation of a workspace. Guest and Guest’s Party will use space only for general office purposes.
- All reservations of any Office Evolution workspace are subject to availability and as per any rules and policies of Office Evolution regarding bookings of space. Guest and Guest’s Party acknowledge that any booking of a space must be made in advance of the desired date and time. Any booking request or request to reserve a space in Office Evolution Burlington’s Business Center can be denied by Office Evolution Burlington if the space is not available, or for any reason deemed by the Business Center, without further explanation unless required by law.
- Guest agrees to use the Office Evolution web portal to adjust or cancel their reservation of a space. Guest will contact the Business Center for assistance with their bookings or with making any reservations or adjustments to a reservation if necessary.
- All workspaces on the 1st floor of Office Evolution Burlington are intended to be focused and quiet places of productive work. As such, the Guest and Guest’s Party agree be conscious of other individuals working in the space and to maintain a reasonable low volume when having conversations. Phone calls are to be made in the lobby area outside, or in spaces designated and permitted by the Office Evolution Burlington Business Center.
- Please remove any items you take into the space with you upon departure from the space. Guest acknowledges that Office Evolution Burlington may, at the discretion of the Business Center Manager or Ownership, apply a minimum charge of $50 per instance of disposal of any items left behind in the Business Center requiring disposal upon the Guest’s exit from the Business Center once their allot time has ended. Guest agrees that Office Evolution Burlington and its staff, employees, officers, representatives, owners, partners, affiliates and the like, will not be held responsible for any lost or damaged items belonging to the Guest or the Guest’s Party for any reason under any circumstances. Your property is your responsibility.
- Guest agrees to make a reasonable effort to return the room to its original state of appearance and cleanliness upon the conclusion of their use of the space. This includes, but is not limited to, the straightening of chairs, putting away dishes, removing papers/brochures/documents from the meeting, throwing away trash, etc.
- Meeting Room Cancellation Policy: All meeting room, conference room, training room, and work space bookings of the like have a minimum 24-hour cancellation up until which the Guest may cancel their booking unless otherwise noted by the Business Center. Failure to comply with this policy will result in the Guest being charged the full price of the scheduled meeting. Please contact the Business Center Manager for details or if you have any questions.
- Invoices: Unless the Guest has made their booking through a 3rd party platform (ie. LiquidSpace, Davinci Booking Services, Alliance Virtual Offices, PeerSpace, Upflex, Breather, and the like), Office Evolution will issue invoices distributed through the billing system used by Office Evolution via e-mail no later than the business day following the initial workspace booking. Invoices will include any workspace booking fees and any miscellaneous charges accrued by the Guest and the Guest’s Party during the booking. The first invoice to a Guest is to be paid upon receipt, or by the date stated on the invoice. For bookings or reservations made by the Guest thereafter, payment is due at the time of booking and the Office Evolution billing system will issue these invoices accordingly.
- Payment: Unless the Guest is paying through an authorized 3rd party platform (ie. LiquidSpace, Davinci Booking Services, Alliance Virtual Offices, PeerSpace, Upflex, Breather, and the like), the Guest agrees to pay Office Evolution Burlington using the payment systems and methods accepted by the Business Center. Guests may use the Office Evolution online web portal to complete their payment online. First time Guests will be required to provide credit card information to use as a hold for the reservation of the workspace, and will be charged no later than the business day following. Guest may place a card on file and use a different card to pay. Cash payments will NOT be accepted. The Guest acknowledges that no liability as a result of any instance will be held against Office Evolution Burlington or its Staff, Managers, and Owners related to payment. Any disputes of payment should be addressed by the payment processor, or the 3rd party booking service. Guests experiencing difficulties with a payment should consult the location’s Business Center Manager for assistance, and to be provided with the necessary contact from Office Evolution to reasonably address their situation.
- Guest & Business Center Property: The Guest agrees to exit the Office Evolution Burlington business center with all personal property, and that they will not leave their personal property unattended in the business center. Office Evolution Burlington claims no responsibility for any of the property owned by the Guest or any of the Guest’s Party, and Guest agrees that any damage, loss, or theft of any of the Guest’s or the Guest’s Party’s personal property is not the responsibility of Office Evolution, the Business Center Operator, Staff, and Oclen – O.E., LLC and all of their affiliates and subsidiaries and their respective successors, assignees, officers, directors, owners, employees, or representatives. Any property left behind by the Guest or the Guest’s Party upon their exit from the space or the termination of their license to the workspace shall be deemed as trash and discarded by the Business Center. Should the cost to the Business Center for the disposal of any of the Guest’s property exceed $10, the cost will be borne by the Guest as an additional charge to their invoiced total for the booking. Guest and Guest’s Party will not exit the Business Center with any property belonging to the Business Center, or other Guest’s property, nor the property of any of Office Evolution’s Members.
- Disclaimer of Liability: Guest understands and voluntarily accepts any risks associated with Guest’s services or any use of the Business Center. Except where prohibited by law, Guest agrees that the Business Center Operator, Staff, and Oclen – O.E., LLC and all of their affiliates and subsidiaries and their respective successors, assignees, officers, directors, owners, employees, agents and representatives will not be held liable for any injury, including, without limitation, personal, bodily, or mental injury, economic loss, or any damage resulting from negligence of any party, acts of God, acts of terrorism, and other acts of the Business Center, its employees, officers, representatives, owners, partners, affiliates and the like. The Guest expressly and specifically agrees to waive, and agrees to not make, any claim for damages of any kind, direct, indirect, punitive, special or consequential, including, but not limited to: lost business, revenue, profits or data, for any reason whatsoever arising out of or in connection with this agreement. Any failure to furnish any service provided herein, any error or omission with respect thereto, from failure of any kind, the Guest agrees not to claim, nor make no claim, regarding any injury or liability to the Business Center or its staff, especially in regards to failure of any kind with any mail or courier service to deliver on time or otherwise deliver any items (catering, packages, etc.) or any interruption of services (such as Wi-Fi connectivity or speed of bandwidth services provided).
- Statement of Terms: Office Evolution Burlington reserves the right to, at any time, modify or rescind any one or more of these terms and conditions, rules and regulations, or to make such other rules and further reasonable rules as deemed by Office Evolution Burlington’s judgement to be necessary for the management, safety, care and cleanliness of the Business Center and building, or Office Evolution Burlington’s business, and for the preservation of good order therein, as well as for the convenience of other occupants and Guests thereof. Office Evolution will not be responsible to Guest or to any other persons. Guest will be deemed to have read these rules and regulations, terms and conditions, and to have agreed to abide by them as a condition of their occupancy of the Premises. These terms and conditions (as changed from time to time) will be deemed to be a part of the Guest’s agreement with Oclen – O.E., LLC dba Office Evolution Burlington.
The signing party (the Guest) understands and acknowledges that as part of their agreement to use one of the Office Evolution Burlington workspaces that the above terms and conditions apply to them, their employees, and all invitees of the Guest as mentioned above to be the Guest’s Party:
